From time to time, Engine No. 1 (as defined below) may distribute the following statement to certain news outlets regarding recommendations by Institutional Shareholder Services Inc. (“ISS”) and Glass, Lewis & Co. (“Glass Lewis”) to the shareholders of Exxon Mobil Corporation (“ExxonMobil” or the “Company”) to vote for certain of Engine No. 1’s nominees to the board of directors of ExxonMobil.
